POSTAL BALLOT NOTICE

Members are hereby informed that pursuant to Section 110 and Section 108 of the Companies Act, 2013 ("Act") read with Rules 22 and 20 of the Companies (Management and Administration) Rules, 2014 as amended from time to time, the Company has on Friday, April 12, 2019, dispatched the Postal Ballot notice ("Notice") along with the Postal Ballot Form as below:

• a) through email to the Members whose email IDs are registered in the records of the Depository Participants / Company's Registrar and TransferAgentviz. Cameo Corporate Services Limited.
• b) through permitted physical mode along with self-addressed postage prepaid envelope to all Members though their e-mail IDs are registered for seeking their approval by way of Special Resolution as mentioned in the Notice dated April 08, 2019. The voting rights have been reckoned on the paid-up value of the equity shares registered in the name of the Members as on the cut-off date i.e. Friday, April 05, 2019. A person who is not a Member on the cut-off date should treat this notice for information purpose only.

The Postal Ballot Notice and the Postal Ballot Form are available on the Company's website www.kotharipetrochemicals.com and the website of the stock exchange where the equity shares of the Company is listed i.e. National Stock Exchange of India Limited.

The Company has engaged the services of Central Depository Services Limited (CDSL) for providing remote e-voting facility to its Members. Voting through Postal Ballot and remote e-voting will commence on Monday,April 15,2019at9.00A.M. 1ST and will end onTuesday, May 14, 2019 at 5.00 P.M. 1ST. Remote e-voting will be blocked at 5.00 P.M. 1ST on T uesday, May 14,2019.

The Board of Directors have appointed Mr.M.AIagar of M/s.M.AIagar & Associates, Practising Company Secretaries as the Scrutinizer for conducting the Postal Ballot and remote e-voting process in a fair and transparent manner. Members desirous to exercise vote through Postal Ballot may complete the Postal Ballot Form, duly filled and signed and send to the Scrutinizer, so as to reach on or before the close of the working hours on Tuesday, May 14,2019.

The members of the Company are also hereby informed and requested to note that:

• a) The necessary instruction for remote e-voting has been set out in the Notice of Postal Ballot dated April 08,2019.
• b) Once the vote on the resolution is cast by the Member, he / she shall not be allowed to change it subsequently or cast vote again.
• c) The voting rights of the Members shall be in proportion to their shares of the paid-up equity share capital of the Company as on the Cut -off date i.e. Friday,April05,2019.
• d) A Member who does not receive the Postal Ballot Form or who wish to obtain a Duplicate Postal Ballot Form may send an email to investor@cameoindia.com or kplcs@hckgroup.com. The Postal Ballot Notice and the Postal Ballot Form can also be downloaded from the Company's websitewww.kotharipetrochemicals.com.
