Sub: Disclosure under Regulation 30(9) of SEBI (Listing Obligations and Disclosure Requirements) Regulation, 2015- Disclosure of events/ information with respect to Subsidiary Company.

Pursuant to Regulation 30(9) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended, the meeting of the Board of Directors of Kopran Research Laboratories Limited, Subsidiary Company (KRLL) held on May 18, 2026 and the Board has, inter-alia, considered and approved the following:

1. Appointment of Director: Mr. Chandresh Gandhi is Independent Director of Kopran Limited. Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, based on the recommendation of the Nomination and Remuneration Committee of the Kopran Research Laboratories Limited (Subsidiary Company), has approved appointment of Mr. Chandresh Gandhi (DIN: 00707947) as Additional Director (Non-Executive Director, Independent Category) of the Kopran Research Laboratories Limited for a term of five years commencing from May 18, 2026 to May 17, 2031, subject to the approval of Members of the Company.

2. Issue of shares: KRLL will issue Rights shares, 1 share for every 12 held, face value 10/- at a premium of Rs.90/- each. The funds raised by KRLL would be utilised for working capital requirement amounting to 18.75 Cr

	During his tenure, he has advised on cross border transactions involving structuring from taxation point of view under the DTAAs with various countries and reporting compliances as per the RBI Guidelines and represented before the tax authorities in assessments/appeals as well the compounding matters with the RBI.
