Additional Explanations

In line with the resolution of our Board of Directors dated 04.06.2025 and pursuant to Article 15 of our Company's Articles of Association, which authorizes the Board to issue debt instruments, the application submitted to the Capital Markets Board of Türkiye ("CMB") for the issuance of debt instruments has been approved by the CMB with its decision dated 03.07.2025 and numbered 39/1193. The issuance may be carried out abroad in one or more tranches, with a total amount not exceeding 100,000,000 Euros (One Hundred Million Euros) and/or its equivalent in other foreign currencies or Turkish Lira, with maturities up to ten (10) years. The debt instruments may bear fixed and/or floating interest rates to be determined based on market conditions and may be issued with or without coupon payments. The approved issuance certificate is attached for the information of the public. This material event disclosure has been prepared in both Turkish and English. In the event of any discrepancy between the two versions, the Turkish version shall prevail.
