Kongsberg Automotive ASA – New share capital and nominal value registered
Reference is made to the stock exchange announcement by Kongsberg Automotive ASA (the "Company") on 15 June 2020 regarding resolutions by an extraordinary general meeting in the Company to, inter alia, (i) decrease the Company's share capital by decrease of the nominal value of the Company's shares from NOK 0.50 to NOK 0.10 (the "Share Capital Decrease") and (ii) to carry out a share capital increase of NOK 700,000,000 by issuance of 7,000,000,000 new shares, each with a nominal value of NOK 0.10, in a private placement (the "Private Placement").
The Share Capital Decrease and the share capital increase relating to the Private Placement has now been registered with the Norwegian Register of Business Enterprises. Following this, the Company's new registered share capital is NOK 744,799,101.20 divided into 7,447,991,012 shares, each with a nominal value of NOK 0.10.
The Private Placement is divided into two tranches, where 89,052,133 of the new shares (the "Tranche 1 Private Placement Shares") will be listed and tradeable on the Oslo Stock Exchange immediately, while the remaining 6,910,947,867 new shares (the "Tranche 2 Private Placement Shares") will not be listed or tradable on the Oslo Stock Exchange until publication of a listing prospectus. Pending publication of the prospectus, the Company has applied for temporary admission to trading of the Tranche 2 Private Placement Shares on Merkur Market under an ISIN separate from the Company's other shares, with the expected first day of trading on or about 17 June 2020.
