Subject: Completion of the Transaction and Acquisition of equity shares in company NEOS Ltd.

KONČAR Inc., in accordance with the Capital Market Act and the Rules of the Zagreb Stock Exchange, Inc., and further to the prior notice dated September 2, 2025 regarding the execution of the Share Purchase Agreement for the acquisition of ownership stake in company NEOS Ltd. (hereinafter: the "Agreement"), hereby announces that on January 2, 2026, as defined by the previously signed Agreement, the conditions for the completion of the transaction and the acquisition of a majority ownership stake in company NEOS Ltd. by KONČAR - Digital Ltd. were fulfilled. As previously announced, due to the indirect affiliation of the parties, the transaction qualifies as a related-party transaction.

With the aforementioned acquisition, the KONČAR Group will expand its competencies and resources in the field of business applications in the energy sector and strengthen its domain expertise in analytical systems and the development of cloud-native application solutions.
