Subject: Completion of two strategic acquisitions

KONČAR Group continues to complement its organic development with targeted inorganic strategies, including acquisitions, mergers, and strategic collaborations. This approach facilitates rapid capability building, accelerates the development of proprietary integrated solutions, and strengthens the Group's market expansion efforts.

Accordingly, as of 31 July 2025, all procedures related to the acquisition of two companies have been successfully completed.

KONČAR – Digital Ltd. has completed the acquisition of the remaining 25% share in KONČAR – System Integration Ltd. for production and trade, becoming its sole owner. This acquisition supports the accelerated scaling of operations through advanced digital technology deployment. The transaction also reinforces KONČAR – Digital Ltd.'s technical capabilities and broadens its offering in equipment supply, system design, implementation, and engineering of network and IT infrastructure, as well as in delivering application solutions for managing and supervising critical and urban infrastructure systems.

As previously disclosed on 10 February 2025, KONČAR Inc. entered into a share purchase agreement for a 75% stake in HELB d.o.o. With all contractual conditions now being met, the transaction has been successfully completed and ownership has transferred to KONČAR Inc.

HELB d.o.o. is a specialized engineering firm offering design, production, construction, operation, and maintenance services for electrical power facilities.

This strategic acquisition positions KONČAR Inc. to expand its engineering expertise, increase operational adaptability, and deepen its offerings in the power infrastructure domain, further aligning with the Group's long-term growth strategy.

Looking ahead, the Group will maintain a proactive approach to identifying strategic investment opportunities that support its inorganic growth agenda and reinforce its long-term business objectives.
