No. (MBS): 080040936, PIN: 45050126417, hereby gives the following:

I N F O R M A T I O N

The Merger Agreement concluded on 07 November 2025 between the companies KONČAR – Electrical Industry Inc. for manufacturing and services and INK PROJEKT Ltd. for construction and services was delivered to the court register of the Commercial Court in Zagreb on 07 November 2025 pursuant to the provision of Article 517 of the CA.

The Merger Agreement and financial reports of the companies participating in the merger are available on the website of KONČAR – Electrical Industry Inc. for manufacturing and services, from which they can be downloaded without compensation.

The merger does not require approval of the General Assembly of KONČAR – Electrical Industry Inc. for manufacturing and services as the acquiring company, pursuant to Article 531 of the CA. Shareholders of KONČAR – Electrical Industry Inc. for manufacturing and services whose shares together comprise at least 1/20 of the company's share capital are entitled to request the convening of the General Assembly.
