Subject: Notification on the Implementation of a Status Change of the demerger (separation with takeover) of the KONČAR Group subsidiaries

KONČAR Inc., as an issuer whose securities are listed on the Official Market of the Zagreb Stock Exchange, hereby informs, further to the previous notice on the conclusion of the Demerger Agreement between subsidiaries KONČAR – Metal Structures Ltd., as the company being divided, and KONČAR – Transformer tanks Ltd., as the spin-off, that the Commercial Court in Zagreb, on 30 September 2025, issued Decision No. Tt-25/60590-2 pursuant to which the division (separation with takeover) of the entity registered under the company/name KONČAR – Metal Structures Ltd., with headquarters in Zagreb, Fallerovo šetalište 22, in the registration file with MBS 080004146, OIB 05214448972 was entered in the court register and Decision No. Tt-25/60591-2 of the entity registered under the company/name KONČAR – Transformer tanks Ltd., with headquarters in Sesvete (Grad Zagreb), Ulica Ive Politea 64, in the registration file with MBS 081540048, OIB 38499856199.

Division of the company KONČAR – Metal Structures Ltd. was carried out by separating the business unit for the production of power transformers and transferring it to the company KONČAR – Transformer tanks Ltd. KONČAR – Transformer tanks, a joint venture between KONČAR and Siemens Energy, is specialized in the production and sale of transformer tanks – a key component of transformers. It was established to meet the growing global demand for transformers and to further strengthen capacity and competitiveness in this segment. KONČAR holds a majority stake of 60%, while Siemens Energy owns 40%.

KONČAR – Metal Structures continues its operations in the part of the production program related to the manufacturing of components for generators, railway vehicles, and busbar trunking systems.

With its own equipment and expertise, the company will continue producing large welded components tailored to the specific wishes and needs of customers. There are also plans to expand the production program to ensure the continued successful operation of the company.
