Subject: Execution of Share Purchase Agreement for NEOS Ltd.

On 1 September 2025, KONČAR – Digital Ltd. executed a Share Purchase Agreement (hereinafter: the "Agreement") concerning NEOS Ltd. (hereinafter: the "Company"), under which KONČAR – Digital Ltd. intends to acquire a majority ownership stake in the Company. The Agreement was concluded following the prior acceptance of KONČAR – Digital Ltd.'s binding offer by the Company's members, which was disclosed to the investment public on 5 May 2025.

Due to the indirect affiliation of the parties, the transaction qualifies as a related-party transaction.

The acquisition will strengthen KONČAR Group's position in the field of business applications for the energy sector and provide valuable domain expertise in analytics systems and the development of cloud-native application solutions.

The Agreement prescribes the specific conditions and legal procedures required for closing, including regulatory clearance pursuant to applicable competition regulations.

KONČAR Inc. will continue to keep the investment community duly informed of all significant developments throughout the transaction process.
