Dear Sir/Madam,

Pursuant to Regulation 30 and 51 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Debenture Allotment Committee of Board of Directors of Kolte-Patil Developers Limited (“ Company ”) at its meeting held on Tuesday, 19 March 2024 at 11.30 AM approved the following:

1. Amendment in the relevant clauses pertaining to the redemption of debentures of the following documents/deeds:

   • a. Debenture Trust Deed dated 11 November 2022 (along with any amendments made thereto) (“ Debenture Trust Deed 1 ”) executed for 20,650 (twenty thousand six hundred fifty) senior, secured, listed, rated, redeemable, non-convertible debentures of face value Rs. 1,00,000/- each, on a private placement basis, aggregating to Rs. 206,50,00,000/- (Rupees Two Hundred Six Crores and Fifty Lakhs Only); and

   • b. Debenture Trust Deed dated 31 October 2023 (along with any amendments made thereto) (“ Debenture Trust Deed 2 ”)executed for 11,090 (Eleven thousand and Ninety) senior, secured, listed, rated, redeemable, non-convertible debentures having face value of Rs. 1,00,000/- (Rupees One Lakh only) each, on a private placement basis, aggregating to Rs. 110,90,00,000/- (Rupees One Hundred and Ten Crore and Ninety Lakhs only).

(Debenture Trust Deed 1 and Debenture Trust Deed 2 are hereinafter collectively referred to as “Debenture Trust Deeds”)

1. Relevant amendments to the Placement Memorandum dated 5 April 2023 and Placement Memorandum dated 19 December 2023 (hereinafter collectively referred to as “ Placement Memorandums ”) issued with regard to the issue of aforesaid debentures to give effect to the abovementioned amendments.

The aforesaid amendments to the Debenture Trust Deeds and Placement Memorandums are subject to the applicability of the provisions of the applicable laws and regulations, prior approval of BSE Limited and the consent from the Debenture Holders.

The meeting was concluded at 12.50 p.m.
