Sub: Postal Ballot Notice - Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI" Listing Regulations)
In terms of Regulation 30 of the SEBI Listing Regulations, we enclose a copy of Postal Ballot Notice seeking the approval of members for re-appointment of Mr. Nobuchika Doi (DIN: 03599835) as Director in Whole-time employment designated as 'Executive Director' for a period of three (3) years effective from pt November, 2020 to 31 st October, 2023 by way of Special Resolution.
In compliance with Ministry of Corporate Affairs Circular No. 14/ 2020 dated April 8, 2020, No. 17 /2020 dated April 13, 2020 and No. 33/2020 dated September 28, 2020, this Postal Ballot Notice is being sent only through electronic mode to those Members whose e-mail addresses are registered with the Company/Depositories and whose names are recorded in the Register of Members of the Company or in the Register of Beneficial Owners maintained by the Depositories as on the Cut-off dated i.e. 20th November, 2020 ("Cut-off date"). The Communication of the assent or dissent of the Members would only take place through the remote e-voting system.
The Company has engaged the services. of National Securities Depository Limited ("NSDL") to provide remote e-voting facility to its Members. The remote e-voting commences from 9.00 a.m. (IST) on 291 hNovember, 2020 and ends at 5.00 p.m. (IST) on 28th December, 2020. The e-voting module shall be disabled by NSDL thereafter. Voting rights of the Members shall be in proportion to the shares held by them in the paid-up equity share c apital of the Company as on Cut-off date.
This Postal Ballot Notice will also be available on the Company's website www.kokuyocamlin.com and on the website of NSDL www.evoting.nsdl.com.

[NOTICE PURSUANT TO SECTION 110 OF THE COMPANIES ACT, 2013, READ WITH RULE 22 OF THE COMPANIES (MANAGEMENT AND ADMINISTRATION) RULES, 2014]

Notice is hereby given pursuant to the provisions of Section 110 and other applicable provisions, if any, of the Companies Act, 2013 ('the Act'), read with the Companies (Management and Administration) Rules, 2014 (including any statutory modification(s) or re-enactment(s) thereof for the time being in force), the Circular No. 14/2020 dated April 8, 2020, Circular No. 17/2020 dated April 13, 2020 and Circular No. 33/2020 dated September 28, 2020, issued by the Ministry of Corporate Affairs ("MCA") (hereinafter collectively referred to as "MCA Circulars") Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations") (including any statutory modification(s) or re-enactment(s) thereof for the time being in force) and pursuant to other applicable laws and regulations, if any, Kokuyo Camlin Limited ('the Company') is seeking consent of its members for special resolution in respect of appointment of Mr. Nobuchika Doi (DIN: 03599835) as Director in Whole-time employment designated as 'Executive Director' for a period of three (3) years effective from 1st November, 2020 to 31st October, 2023 and remuneration payable to him to be transacted through postal ballot, only by voting by electronic means (e-voting). The appointment of Mr. Nobuchika Doi as an Executive Director is subject to receipt of requisite Central Government approvals, as may be applicable.
In compliance with the aforesaid MCA Circulars, this Postal Ballot Notice is being sent only through electronic mode to those Members whose e-mail addresses are registered with the Company/Depositories. If your e-mail address is not registered with the Company/Depositories, please follow the process provided in the Notes to receive this Postal Ballot Notice and login ID and password for remote e-voting. The communication of the assent or dissent of the Members would only take place through the remote e-voting system.
The proposed special resolution alongwith the explanatory statement setting out material facts and reasons thereof are appended for your consideration.
The Board of Directors of the Company, at its meeting held on 28th October, 2020 has appointed Mr. J. H. Ranade, Partner failing which Mr. Sohan J. Ranade, Partner failing which Ms.Tejaswi Zope, Partner of M/s. JHR & Associates as the Scrutinizer for conducting the postal ballot through e-voting process electronically in a fair and transparent manner.
In compliance with the above referred MCA Circulars and Regulation 44 of Listing Regulations and pursuant to Section 108 and 110 of the Act, read with the Companies (Management and Administration) Rules, 2014, the Company has extended e-voting facility for its members to enable them to cast their votes electronically instead of dispatching the postal ballot form(s). Members are requested to read the instructions annexed to this notice.
Upon completion of the scrutiny of the e-voting, the Scrutinizer will submit his report to the Chairman & Executive Director or Vice Chairman & Executive Director of the Company. The results will be declared on or before 30th December, 2020 and communicated to the Stock Exchanges, Depository, Registrar and Share Transfer Agent and displayed on the Company's website at www.kokuyocamlin.com
SPECIAL BUSINESS:
1. APPOINTMENT OF MR. NOBUCHIKA DOI (DIN: 03599835) AS DIRECTOR IN WHOLE-TIME EMPLOYMENT DESIGNATED AS 'EXECUTIVE DIRECTOR' FOR A PERIOD OF THREE (3) YEARS EFFECTIVE FROM 1ST NOVEMBER, 2020 TO 31ST OCTOBER, 2023 AND REMUNERATION PAYABLE TO HIM.
To consider and if thought fit, to give assent or dissent to the following resolution, as a Special Resolution:
"RESOLVED THAT pursuant to the provisions of Sections 196, 197, 198, 202, and other applicable provisions if any, read with Schedule V of the Companies Act, 2013 and the rules made thereunder (including any statutory modification(s) or reenactment(s) thereof for the time being in force) (hereinafter referred to collectively as "Act"), Articles of Association of the Company, and other applicable provisions/regulations, if any, subject to approval of Central Government, the consent of the Members of the Company be and is hereby accorded to the appointment of Mr. Nobuchika Doi (DIN: 03599835) as a Director in the Whole-time employment, designated as 'Executive Director' of the Company (whose term of office shall be liable to retirement by rotation), for a period of three (3) years with effect from 1st November, 2020 and he shall be entitled to receive a monthly salary of Rs. 3,34,311/- plus special allowance, rent free furnished accommodation, perquisites and other allowances and benefits (collectively called "Total Remuneration") as recommended by the Remuneration and Nomination Committee and as set out in the explanatory statement annexed hereto and also as set out in the agreement to be executed between the Company and Mr. Nobuchika Doi, with liberty to the Board of Directors to alter and/or vary the terms and conditions of the said appointment and/or agreement in such manner, as may be agreed to between the Board of Directors and Mr. Nobuchika Doi.
RESOLVED FURTHER THAT pursuant to Section 197 of the Act read with Schedule V of the Act, and other applicable provisions (if any), in the event of inadequacy or absence of profits in any financial year of the Company during the term of Mr. Nobuchika Doi, consent of the Members of the Company be and is hereby accorded for payment of the remuneration mentioned in the preceding part of the resolution, explanatory statement and the said agreement to Mr. Nobuchika Doi, as minimum remuneration.
RESOLVED FURTHER THAT Mr. Nobuchika Doi functions as Executive Director of the Company, he shall not be paid any sitting fees for attending meeting of the Board of Directors and Committees thereof.
RESOLVED FURTHER THAT any one of the Directors namely, Mr. Dilip D. Dandekar, Chairman & Executive Director, Mr. Shriram S. Dandekar, Vice-Chairman & Executive Director or Mr. Ravindra V. Damle, Vice President (Corporate) & Company Secretary be and are hereby severally authorised to take all such steps as may be deemed necessary, proper or expedient to give effect to this resolution."

ANNEXURES FORMING PART OF THE NOTICE EXPLANATORY STATEMENT (Pursuant to Section 102 and 110 of the Companies Act, 2013)
Item No. 1:
The Company had appointed Mr. Nobuchika Doi as Managing Director designated as 'Chief Executive Officer & Executive Director in whole-time employment, and approved his remuneration, for the period of three (3) years with effect from 1st November, 2017 till 31st October, 2020, by passing an Ordinary Resolution through Postal Ballot on 28th December, 2017. The Board of Directors in its meeting held on 9th May, 2018 had re-designated Mr. Nobuchika Doi as Managing Director of the Company. Thereafter the Board of Directors in its meeting held on 26th October, 2018 re-designated Mr. Nobuchika Doi as Executive Director for the remaining period of his tenure with effect from 1st November, 2018 to 31st October, 2020 on the same terms and conditions of remuneration, as approved earlier by members. The said re-designation of Mr. Nobuchika Doi was also approved by members by passing a Special Resolution through postal ballot on 20th March, 2019.
The Company now proposes to appoint Mr. Nobuchika Doi as Director in whole-time employment designated as 'Executive Director' for the further period of three (3) years with effect from 1st November, 2020. The said appointment and his remuneration were also approved by the Remuneration and Nomination Committee, at its meeting held on 27th October, 2020 and by the Audit Committee and the Board of Directors at their meeting held on 28th October, 2020, subject to approval of the Members and Central Government.
Mr. Nobuchika Doi is not disqualified from being appointed as Director in terms of section 164 of the Act and has given his consent to act as Whole-time Director designated as Executive Director of the Company. Once he is appointed his term of office shall be liable to retirement by rotation.
Under the Act, unless otherwise approved by the Central Government a person who is proposed to be appointed as an 'Executive Director' of a Company needs to be a resident of India, where a resident includes a person who has entered India for the purposes of employment or business with a valid employment visa and has been residing in India for a continuous period of 12 months prior to being appointed as an Executive Director.
Due to the on-going COVID 19 pandemic, Mr. Nobuchika Doi had to return to his home country Japan in April 2020 and has been residing in and working from Japan ever since. The Company therefore intends to apply to the Central Government to seek approval for appointment of Mr. Nobuchika Doi as an 'Executive Director' with effect from 1st November 2020 and to allow Mr Nobuchika Doi to carry on his duties as an Executive Director from Japan till the beginning of year 2021, whereafter, depending upon prevailing COVID-19 pandemic situation Mr. Nobuchika Doi shall return to India after obtaining a valid employment visa.
The Company shall, on receipt of the members approval make an application to the Central Government in accordance with the Companies Act, and the Board has authorised Mr. Dilip D. Dandekar, Chairman & Executive Director, Mr. Shriram S. Dandekar, Vice-Chairman & Executive Director or Mr. Ravindra V. Damle, Vice President (Corporate) & Company Secretary to make such application and represent the Company in this matter before the Central Government.
The material terms of remuneration as contained in the agreement to be executed between the Company and the Mr. Nobuchika Doi are given below;
I. SALARY:
Salary shall be R 3,34,311/- per month.
II. SPECIAL ALLOWANCE
Special Allowance of R 57,245/- per month shall be paid in addition to salary to him.
III. RENT FREE FURNISHED ACCOMMODATION
The Company will provide Rent Free Furnished Accommodation with monthly rentals for premises not exceeding R 2,75,000/-.
IV. PERQUISITES AND OTHER ALLOWANCES:
In addition to Salary, Special Allowance and Rent Free Furnished Accommodation, he shall be entitled to
- Gas Electricity & Water limited to 10% of monthly salary (i.e. R 33,431/- per month)
- Leave Travel Concession of R 6,86,940/- per annum.
- Educational Allowance of R 28,623/- per month.
- Medical Allowance limited to 10% of monthly salary (i.e R 33,431/- per month).
In addition to above, he shall be entitled to provision of car with driver, telephone/fax facilities and benefit of personal accident insurance scheme and such other perquisites and allowances in accordance with the rules of the Company or as may be agreed to by the Board of Directors/Remuneration and Nomination Committee and Mr. Nobuchika Doi.
Perquisites and other allowances shall be evaluated as per Income Tax Rules, wherever applicable. In the absence of any such rules, they shall be evaluated at actual cost.
Note that each of the above terms (i.e, salary amount, special allowance, rent free furnished accommodation , perquisites and other allowances) are same as the ones approved by the Members (by Ordinary Resolution passed through Postal Ballot on 28th December 2017) for his previous tenure which ended on 31st October, 2020. No change has been proposed.
V. GRATUITY FUND AND LEAVE ENCASHMENT:
Gratuity payable as per the rules of the Company and encashment of leave at the end of his tenure shall not be included in the computation of limits for the remuneration or perquisites aforesaid.
VI. TOTAL REMUNERATION:
The aggregate of the remuneration including Gratuity Fund, payable to Mr. Nobuchika Doi taken together shall be calculated in accordance with the provisions of Sections 197 of the Act, read with Schedule V thereof amended from time to time.
VII. MINIMUM REMUNERATION:
In the event of inadequacy or absence of profit in any financial year of the Company during the term of Mr. Nobuchika Doi, the minimum remuneration payable to him shall be by way of salary, special allowance, rent free furnished accommodation, perquisites and other allowances and benefits as set above but, in any event, subject to the provisions of Section 197 of the Companies Act, 2013 and subject to compliances required under Schedule V of the Act, as may be amended from time to time.
In view of inadequate profits of the Company, the above mentioned remuneration paid/ payable to Mr.Nobuchika Doi requires approval of members under Schedule V read with the provisions of the Act. Accordingly, the information as required under Schedule V of the Act with reference to the special resolution is set out at Annexure A.
Details as required under Section 196 (4) of the Act, Regulation 36(3) of Listing Regulations and as required under Secretarial Standard - 2 on General Meetings issued by The Institute of Company Secretaries of India, have been given in Annexure B for the information of the members.
None of the Directors/ Key Managerial Personnel (KMP) of the Company and their relatives except the appointee are concerned or interested in the resolution.
The Directors recommend the Special Resolution for your approval.

a) Reasons for loss or inadequate profits:
The Company suffered a major loss in the month of March due to disruptions in the operations caused by Covid-19 pandemic. The month of March carries disproportionately high significance in our seasonal operations since it is the beginning of school season across many parts of India. Also, the Company continues to face pricing pressure which impacts growth.
b) Steps taken or proposed to be taken for improvement:
The Company has implemented several cost reduction measures across various functions which include salary reduction, renegotiations of contracts, restructuring manufacturing operations and slashing of other expenditure budgets for the year.
c) Expected increase in productivity and profits in measurable terms:
Considering the unpredictability around the end date of pandemic, the focus of the company is towards cutting losses and ensuring that sufficient liquidity is maintained.

The Agreement to be entered into between the Company and Mr. Nobuchika Doi which set out the terms and conditions of his appointment is available for inspection of the members of the Company at its Registered Office situated at 48/2, Hilton House, Central Road, MIDC, Andheri (E), Mumbai - 400 093 between 11.00 a.m. to 1.00 p.m. on any working day of the Company upto the last date of e-voting i.e 28th December, 2020.
