On April 17, 2015, Kohl’s Corporation (the “Company”) announced the retirement of Senior Executive Vice President Ken Bonning, effective May 15, 2015. In connection with his retirement, Mr. Bonning and the Company entered into an agreement which provides for the acceleration of equity awards that would have otherwise vested during the 12-month period following his retirement date.
