We refer to the above captioned subject and pursuant to the announcement dated 17[th] February 2026, we herewith intimate to the Exchanges that the Company has incorporated a wholly owned subsidiary namely “KNR Mahabalipuram Infra Private Limited” a special purpose vehicle on 19[th] February 2026 for which the Certificate of Incorporation was received today.

The details as required under Regulation 30 of Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD1 /P/CIR/2023/123 dated July 13, 2023 and SEBI Circular No. SEBI/HO/CFD/CFD-PoD-2/CIR/P/2024/185 dated December 31, 2024 are enclosed herewith as Annexure I.

1	Name of the target entity, details in brief such as size, turnover etc.	KNR Mahabalipuram Infra Private Limited (KMIPL) (CIN: U43299TS2026PTC211740) is incorporated as Wholly owned subsidiary of the Company as a Special Purpose Vehicle (SPV) with authorized capital of Rs. 10,00,000/- (Rupees Ten Lakhs Only) divided into 1000 (one thousand) equity shares of Rs. 1000/- (Rupees One Thousand) each. Size/Turnover: Not Applicable as the business operations are yet to be commenced.
2	Whether the acquisition would fall within related party transaction(s) and whether the promoter/promoter group/ group companies have any interest in the entity being acquired? If yes, nature of interest and details thereof and whether the same is done at "arm's length".	KNR Mahabalipuram Infra Private Limited (KMIPL) is a related party as it is a wholly owned subsidiary. The said acquisition of shares falls within the ambit of the related party transactions. Except to the extent of shares held by the Company in KMIPL, Mr. K Jalandhar Reddy, Executive Director, Mrs. K Yashoda, Non-Executive Director and promoters of the Company, Mr. V Venu Gopal Reddy, Senior Management Personnel, who are also Non-Executive Directors of the Company no other promoter/promoter group/ group company have any interest in the transaction.
