Item 8.01 Other Events.

On April 28, 2016, Knowles Corporation (the “Company”) issued a press release announcing the pricing of $150 million aggregate principal amount of its 3.25% Convertible Senior Notes due 2021. The Company has also granted the initial purchasers of the notes a 30-day option to purchase up to an additional $22.50 million aggregate principal amount of the notes.

In connection with the pricing of the notes, the Company entered into privately negotiated convertible note hedge transactions with affiliates of three of the initial purchasers (the “option counterparties”). The Company also entered into warrant transactions with the option counterparties.

A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
