Pursuant to provisions of Regulation 29 and other applicable provisions, if any, of the Listing Regulations, we hereby inform you that the Meeting of the Board of Directors of the Company is scheduled to be held on Tuesday, December 24, 2024 at 04.00 PM, inter alia, to consider and approve the following:

• (A) sub-division of the equity shares of the Company having a face value of ₹10/- each, in such manner as may be determined by the Board of Directors, subject to the approval of the shareholders of the Company and regulatory/statutory approvals as may be required.

• (B) raising funds via issuance of equity shares through a private placement or through one or more qualified institutional placement (QIP) and / or preferential allotment and / or through any other permissible mode in accordance with the relevant provisions of applicable law, subject to approval from the shareholders of the Company and the receipt of statutory /regulatory and other approvals, as may be required.
