CHANGE OF AUDITOR NOTICE

TO: British Columbia Securities Commission Alberta Securities Commission Ontario Securities Commission

AND TO: MNP LLP

AND TO: Antares Professional Corporation, Chartered Professional Accountants

KnightHawk Inc. (the “ Corporation ”) gives the following notice in accordance with Part 4.11 of National Instrument 51-102 - Continuous Disclosure Obligations (“ NI 51-102 ”):

1. MNP LLP (the “ Former Auditor ”) resigned as auditor of the Corporation on its own initiative effective May 27, 2021.

2. The resignation of the Former Auditor as auditor of the Corporation and the appointment of Antares Professional Corporation, Chartered Professional Accountants as auditor of the Corporation have been considered and recommended by the Audit Committee and approved by the Board of Directors of the Corporation.

3. The Former Auditor has not expressed a modified opinion on any of the Corporation’s financial statements.

4. There has been one reportable event, as such term is defined in NI 51-102. The Former Auditor requested documentation with respect to a historical transaction that we were unable to provide. This unresolved issue was discussed and considered by the Audit Committee and with the Former Auditor, and the Former Auditor was authorized to discuss the issue with the Successor Auditor.
