KMC Properties ASA – Notice of extraordinary general meeting

Reference is made to the stock exchange announcement published by KMC Properties ASA (the "Company") on 9 February 2026, regarding the extraordinary general meeting's (the "EGM") approval of the merger plan for a statutory all-share merger pursuant to Chapter 13 of the Norwegian Public Limited Liability Companies Act, with the Company as the surviving legal entity (the "Merger"), and the stock exchange announcement on 6 March 2026, regarding the resignation of three board members who were appointed by the EGM as members of the board of directors of the Company (as the acquiring company in the Merger) with effect from completion of the Merger.

To elect a new board of directors of the Company with effect from the implementation of the Merger, the board of directors of the Company hereby calls for an extraordinary general meeting to be held on 16 April 2026 at 10:00 hours (CEST). The general meeting will be held electronically through Lumi.

The notice and agenda of the general meeting are attached hereto. The notice and the documents referred to therein will also be made available on the Company's webpage www.kmcp.no. Further information on advance voting, power of attorney and digital participation is included in the notice.
