Sub: Dispatch of Postal Ballot Notice

In continuation to our earlier letter no. SEC&LEG/1060 dated July 20, 2024 and pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we enclose herewith the notice of Postal Ballot for considering appointment of the Non-Executive and Independent Director(s) of the Company by way of Postal Ballot remote e-Voting. Further, this is to inform you that, the Company has completed dispatch of said postal ballot notice vide email on August 14, 2024.

The Postal Ballot Notice is sent by email to all the Members whose names appear in the Register of Members/ List of Beneficial Owners as on Friday, August 9, 2024 (“Cut-off date”) to their registered email addresses in accordance with General Circulars No(s). 14/2020 dated 8 April 2020; No. 17/2020 dated 13 April 2020; No. 20/2020 dated May 5, 2020; No. 3/2022 dated 5 May 2022; and 09/2023 dated September 25, 2023 issued by the Ministry of Corporate Affairs (collectively the “MCA Circulars’’) and any other applicable laws and regulations for the time being in force and SEBI circular No. SEBI/HO/CFD/CFD-PoD-2/P/CIRl2023/167 dated October 07, 2023 read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CI R/P/2023/120 dated July 11, 2023 ("SEBI Circulars") to transact the special business as set out in the Postal Ballot Notice through Postal Ballot only by way of remote e-Voting process (i.e. "e-Voting only").

Further, pursuant to provisions of Section 110, 108 of the Companies Act, 2013 and Rule 20 of the Companies (Management and Administration) Rules, 2014, as amended by Companies (Management and Administration) Amendment Rules, 2015 and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Secretarial Standard on General Meetings issued by the Institute of Company Secretaries of India (“SS-2’’), the Company is pleased to provide to the members e-voting facility through National Securities Depository Limited (NSDL) to exercise the right to vote on Special Resolution(s) to be considered through Postal Ballot remote e-Voting.

The remote e-Voting period commences on Monday, August 19, 2024 at 9.00 am (IST) and ends on Tuesday, September 17, 2024 at 5.00 pm (IST). Detailed instructions for e-voting facility and registration of email facility are provided in the Postal Ballot notice, available on the website of the Company viz., www.kirloskarpneumatic.com
