Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, (the Regulations), including amendments thereunder, read with the SEBI Circular No. CIR/CFD/CMD/4/2015 dated 9 September 2015, this is to inform you that, based on the recommendations of the Nomination and Remuneration Committee, the Board of Directors has appointed Mr. Vijaydipak Mukundprasad Varma (holding DIN 00011352) as an Additional Director in the capacity of an Independent Director of the Company for a first term of five years, with effect from 15 October 2021, subject to the approval of the members of the Company.

Mr. Vijaydipak Mukundprasad Varma, aged 70 years, graduated in Mechanical Engineering from the College of Engineering (COEP), Pune.

projects in strategy development, process engineering and information technology and was responsible for negotiating, setting up and closing technology transfers and joint ventures, and acquisitions of businesses.

Mr. Varma is not concerned / interested, directly or indirectly, financially or otherwise, with any directors or key managerial personnel of the Company. He holds 1,256 equity shares in the Company.

In terms of Circular No. LIST/COMP/14/2018-19 dated 20 June 2018 and Circular No. NSE/CML/2018/02 dated 20 June 2018, issued by the BSE Limited and National Stock Exchange of India Limited, respectively, Mr. Vijaydipak Mukundprasad Varma is not debarred from holding the office of a Director by virtue of any order by SEBI or any other Authority.
