पोस्टल बेंलट आणि इ-दूरस्थ मतदानावाबत माहितीसाठी सूचना

कंपनी कायदा, २०१३ ('कायदा') चे कलम ११० आणि असल्यास अन्य तरतुदी आणि त्यासह वाचल्या जाणाऱ्या कंपनीज़ (व्यवस्थापन आणि प्रशासन) रुल्स, २०१४ चे रुल २२ ('रुल्स'), सेबीचे रेग्युलेशन्स ४४ (लिस्टिंग ऑब्लीमेशन्स ॲण्ड डिस्क्लोजर रिक्वायरमेन्ट्स) रेग्युलेशन्स, २०१५ ('लिस्टिंग रेग्युलेशन्स'), आणि कंपनी बाबीचे मंत्रालय यांनी जारी केलेल्या सर्वसाधारण परिपत्रक क्र. १४/२०२० दिनांक ८ एप्रिल, २०२०, क्र. १७/२०२० दिनांक १३ एप्रिल, २०२०, क्र. २२/२०२० दिनांक १५ जून, २०२० आणि क्र. ३३/२०२० दिनांक २८ सप्टेंबर, २०२० ('एमसीए सर्क्युलर्स') यांच्या अधीन राहून, कंपनीच्या सभासदांची, मॅनेजिंग डिरेक्टरच्या फेरनियुक्तीसाठी पोस्टल बॅलट आणि दरस्थ इ-मतदानामार्फत अनुमती घेण्यात येत आहे.

कोविड -- १९ चा उद्रेक आणि एमसीए परिपत्रकांची पूर्तता करुन, तपशील असलेले निवेदन ('नोटीस') आणि पोस्टल बॅलटची सूचना शनिवार २८ नोव्हेंबर, २०२० रोजी, इलेक्ट्रॉनिक पध्दतीने (म्हणजेच इ-मेलद्वारे) अशा सभासदाना पाठविली आहे, ज्याचे इ-मेल आयडी कंपनी/डिपॉझिटरी यांच्याकडे नोंदणीकृत आहेत आणि ज्यांची नावे कट-ऑफ-डेटला म्हणजे शुक्रवार २७, नोव्हेंबर, २०२० रोजी रजिस्टर ऑफ मेंबर्स/रजिस्टर ऑफ बेनिफिशल ओनर्स मधे दिसून येत आहेत.

वर नमूद केलेल्या एमसीए सक्युलर्स च्या अनुसार सभासदाची मान्यता किंवा विरोध यांच्या विषयीचा निर्णय फक्त दूरस्थ इ-मतदान पध्दतीद्वारे होईल आणि या पोस्टल बॅलट मतदानासाठी पोस्टल बॅलट मतदानाची पत्रिका व प्री-ऐड बिझिनेस रिप्लाय एन्व्हलप पाठविण्यात येणार नाहीत. ज्या सभासदांचे इ-मेल आयडीज नोंदविलेले नसतील त्यांनी युजर आयडी आणि पासवड/पोस्टल बॅलट नोटीस मिळविण्यासाठी पोस्टल बॅलट नोटीसमध्ये नमूद केलेल्या प्रक्रियेचे अनुसरण करुन त्यांचे इ–मेल आयडी नोंदवावेत.

सदर सूचना कंपनीचे संकेतस्थळ www.kirioskarpumps.com, स्टॉक एक्सचेंजचे संकेतस्थळ अर्थात वीएसई लिमिटेड आणि नॅशनल स्टॉक एक्सचेंज ऑफ इंडिया लिमिटेड अनुक्रमे www.bseindia.com आणि www.nseindia.com आणि एनएसडीएलचे संकेतस्थळ www.evoting.nsdi.com. येथे उपलब्ध आहे.

सदर कायद्याचे कलम १०८ आणि त्यासह वाचल्या जाणाऱ्या सेबी (लिस्टींग ऑब्लीगेशन्स ॲण्ड डिस्क्लोजर रिक्वायरमेन्टस्) रेय्युलेशन्स, २०१५ च्या रेग्युलेशन ४४, आणि रुल्सच्या तरतुदीनुसार कंपनीने आपल्या सर्व सभासदांना दूरस्थ इ-मतदानाची सुविधा दिली आहे. त्यासाठी एनएसडिएल याच्या सेवा घेतलेल्या आहेत. तपशीलवार माहिती खाली दिली आहे.

• दूरस्थ इ~मतदान सुरु होण्याची तारीख आणि वेळ् । रविवार २९ नोव्हेंबर, २०२० (सकाळी ९.०० वाजता भारतीय प्रमाणवेळ).
  • दूरस्थ इ-मतदान संपण्याची तारीख़ आणि वेळ : सोमवार २८ डिसेंबर, २०२० (सायंकाळी ५.०० वाजता भारतीय प्रमाणवेळ).

NOTICE OF POSTAL BALLOT AND REMOTE E-VOTING INFORMATION

Notice is hereby given that pursuant to Section 110 and other applicable provisions, if any, of the Companies Act, 2013 (the 'Act') read with Rule 22 of the Companies (Management and Administration) Rules, 2014 (the 'Rules'), Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (the 'Listing Regulations'), General Circular Nos. 14/2020 dated 8" April, 2020, No. 17/2020 dated 13" April, 2020, No. 22/2020 dated 15" June 2020 and No. 33/2020 dated 28" September, 2020 issued by the Ministry of Corporate Affairs (collectively referred to as "MCA Circulars"), the approval of Members of the Company is being sought for re-appointment of Managing Director of the Company by way of Postal Ballot, through remote e-voting process.

In view of the continuing COVID-19 pandemic and in compliance with the aforesaid MCA Circulars, the Notice of the Postal Ballot along with the Statement of material facts thereof ("Notice") has been duly sent on Saturday, 28" November, 2020, through electronic mode (i.e. through e-mail) to those Members whose e-mail addresses are registered with the Company/Depositories and whose names appear on the Register of Members/List of Beneficial Owners as received from the Depositories i.e. National Securities Depository Limited ("NSDL") / Central Depository Services (India) Limited ("CDSL") on cut-off date i.e. Friday, 27" November 2020.

In Compliance with the aforesaid MCA Circulars, the communication of assent or dissent of the Members would take place through remote e-voting system only. Accordingly, Postal Ballot Form and Pre-paid business reply envelope will not be sent to the members for this Postal Ballot.

Members of the Company who have not yet registered their email address are requested to get their email addresses registered by following the procedure mentioned in the Postal Ballot Notice for obtaining User ID and Password/soft copy of Postal Ballot Notice.

The Notice is also available and can be downloaded from the Company's website at www.kirloskarpumps.com Website of BSE Limited and National Stock Exchange of India Limited at www.bseindia.com and www.nseindia.com respectively, and on the Website National Securities and Depositories Limited (NSDL) at www.evoting.nsdl.com.

As per Section 108 of the Companies Act, 2013 read with the Rules and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company has engaged the services of NSDL, for providing remote e-voting facility to all its Members, to enable them to cast their votes electronically on the resolution set forth in the Notice. The details are given hereunder:

• . The Date and Time of end of remote e-voting: Monday, the 28th December, 2020 at 5:00 p.m. (IST) and the facility shall be forthwith hlocked:

Only those Members whose names appear on the Register of Members/List of Beneficial Owners as received from the Depositories as on cut-off date i.e. Friday, 27" November, 2020, shall be entitled to avail the facility of remote e-voting. Once a vote is cast by the Members, the same cannot be changed subsequently.

The Board of Directors of the Company has appointed Mr. Shyamprasad Limaye (Membership No. FCS 1587 & Certificate of Practice No. 572), Pune, Practicing Company Secretary, as Scrutinizer for conducting the Postal Ballot process. (through remote e-voting only) in a fair and transparent manner. The result of the Postal Ballot through remote e-voting will be announced within the statutory time. limits. The said results would be displayed on website of the Company at www.kirloskarpumps.com and on the website of NSDL at www.evoting.nsdl.com simultaneously communicated to BSE Limited and National Stock Exchange of India Limited.
