Explanatory Statement - Notification of Changes in Major Shareholdings, CMS Sapere Aude Trust Reg. Verdere S.à r.l. ("Verdere") is a wholly-owned indirect subsidiary of CMS Sapere Aude Trust Reg. ("CMS Sapere Aude") through Valsten Limited. On 15 May 2024, CMS Sapere Aude contributed its entire direct shareholding in Kinnevik AB (publ) ("Kinnevik"), 3,880,202 A-shares, to Verdere, referred to as the "Transaction". As a result of the Transaction: 1. Verdere has exceeded 5% of the total number of shares and 25% of the voting rights in Kinnevik, and 2. CMS Sapere Aude's direct holding has fallen below 5% of the voting rights in Kinnevik. The total holding of the group (in which CMS Sapere Aude is the parent company) remains unchanged as a result of the Transaction.
