On 18 May 2018, Verdere disposed in aggregate 8,956,517 Class A shares in Kinnevik (ISIN SE000837898), representing 3.3 per cent of the shares and 13.9 per cent of the votes in Kinnevik, of which 6,580,202 Class A shares representing 2.4 per cent of the shares and 10.2 per cent of the votes was acquired by Camshaft S.a r.l., a subsidiary to Cristina Stenbeck according to the Financial Instruments Trading Act Ch. 4 section 4, second paragraph, item 3 and fourth paragraph (the "Transaction"). Between Verdere and Cristina Stenbeck there is an arrangement (Sw. överenskommelse) to take a long-term common position with respect to the management of Kinnevik through a co-ordinated exercise of voting rights that is subject to and falls within the scope of Chapter 4, section 4, second paragraph, item 1 of the Financial Instruments Trading Act. Following the Transaction, of the total holdings of 25,914,686 Class A shares and 2,200 Class B shares and 259,149,060 votes in Kinnevik held in aggregate by the Shareholders, the following number of shares and votes are held by each of the Shareholders: - Verdere holds 19,334,484 Class A shares and 193,344,840 votes in Kinnevik, representing 7.0 per cent of the total number of shares and 29.9 per cent of the total number of votes in Verdere; and - Cristina Stenbeck holds, indirectly through Camshaft, 6,580,202 Class A shares and, directly, 2,200 Class B shares and 65,804,220 votes in Kinnevik, representing 2.4 per cent of the total number of shares and 10.2 per cent of the total number of votes in Kinnevik.
