On 28 November 2019 Verdere Sàrl ("Verdere") acquired 3,880,202 Kinnevik Class A Redemption Shares and 2,582,200 Kinnevik Class B Redemption Shares, and on the same date CMS Sapere Aude Trust reg. ("CMS Sapere") sold 3,880,202 Kinnevik Class A Redemption Shares. This is referred to as the "Transactions". Verdere is a subsidiary to CMS Sapere (63.2%) according to Ch. 4 section 4, second paragraph, item 3 and fourth paragraph FITA. As a result of the Transactions, the number of shares and votes in Kinnevik held by CMS Sapere and Verdere, respectively, have changed as set out in the notification, and CMS Sapere has fell below 5% of the votes in Kinnevik, and Verdere has exceeded the threshold 5% of the capital and 20% of the votes in Kinnevik. However, on aggregate the Group did not exceed or fall below any thresholds as a result of the Transactions.
