The Board wishes to state that it is not aware of any reasons for the recent increase in the trading volume of the shares of the Company except disclosed herein.
This statement is made at the request of the Stock Exchange.
The board of directors of FT Holdings International Limited (the "Company") (the "Board") has noted the recent increase in the trading volume of the shares of the Company and wishes to state that the Company is under negotiation with an investment fund for the possible issuance of a convertible bond and/or placement of shares. The Board wishes to state that the negotiation is at a preliminary stage and no terms have yet been fixed. The Company will fulfill all listing requirements and made further announcement as required by the Rules Governing the Listing of Securities on the Stock Exchange if any progress is reached in this respect.
Such negotiation may or may not be proceeded. Shareholders are advised to exercise caution when dealing in shares of the Company.
Save as disclosed above, the Board confirms that there are no negotiations or agreements relating to intended acquisitions or realization which are discloseable under paragraph 3 of the Listing Agreement, neither is the Board aware of any matter discloseable under the general obligation imposed by paragraph 2 of the Listing Agreement, which is or may be of a price-sensitive nature.
