Item 2.02 Results of Operations and Financial Condition .

On November 12, 2024, Kingstone Companies, Inc. (the “Company”) issued a press release announcing its financial results for the period ended September 30, 2024 (the “Press Release”). In the Press Release, the Company indicated that its book value per share – diluted and book value per share – diluted excluding accumulated other comprehensive income (“AOCI”) as of September 30, 2024 were $4.58 and $5.28, respectively. Such book value per share figures were also included in the presentation made by the Company in its quarterly conference call for analysts and investors on November 13, 2024. On November 15, 2024, the Company determined that such book value per share figures were calculated based upon an incorrect number of shares of common stock outstanding on a fully diluted basis as of September 30, 2024. Based upon the correct number of shares of common stock outstanding on a fully diluted basis, the book value per share – diluted and book value per share – diluted excluding AOCI as of September 30, 2024 were $4.32 and $4.97, respectively.
