NOTICE OF ISSUE OF SHARES

Kingston Resources Limited (The Company) has today issued 916,666 ordinary fully paid shares (Shares) pursuant to:

  • i. Barney Bore Exploration Joint Venture Agreement dated 12 July 2015 under which the Company agreed to issue $20,000 in ordinary fully paid Shares (ASX: KSN) at Volume Weighted Average Price for the previous 5 days ($0.024) (VWAP), as part consideration for entry into the agreement (Refer Kingston’s ASX Announcement on 13 July 2015); and

  • ii. Agreement with a media relations consultant under which the Company agreed to issue $2000 in ordinary fully paid Shares at VWAP for services provided.

The Company gives notice under section 708A(5)(e) of the Corporations Act 2001(Cth) (the Corporations Act) that:

  1. The Issue was made without disclosure to investors under Part 6D.2 of the Corporations Act;

  2. As at the date of this notice, the Company has complied with;

  3. 2.1 the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  4. 2.2 section 674 of the Corporations Act; and

  5. As at the date of this notice, there is no information to be disclosed which is ‘excluded information’, as defined in sections 708A(7) or 708A(8) of the Corporations Act.

An Appendix 3B new issue announcement in relation to the Issue of Shares is now attached.
