Voting Rights and Capital Transparency Directive

1 December 2025

Kingspan Group plc would like to notify the market of the following changes to the capital of the Company as at 30 November 2025:

The Company's issued share capital consists of 182,397,781 ordinary shares of €0.13 each. The Company holds 2,355,651 ordinary shares in treasury. Therefore, the total number of voting rights in the Company is 180,042,130.

The above figure 180,042,130 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest, in Kingspan Group plc under the Disclosure and Transparency Rules.
