CERTIFICATE UNDER REGULATION 40 (9) OF SECURITIES AND EXCHANGE BOARD OF INDIA (LISTING OBLIGATIONS AND DISCWSURE REQUIREMENTS) REGULATIONS, 2015

FOR THE HALF YEAR ENDED ON 31.03.2020

The Securities and Exchange Board oflndia vide gazette notification dated 8[th ] June, 2018 and its press release on 3rd December, 2018 amended Regulation 40 of the SEBI (Listing Obligations and Disclosure Requirements) Regulation, 2015 and has mandated the transfer of securities would be carried out in dematerialized form only w.e.( 1[st ] April, 2019. Further SEBI vide its press release dated 27[th ] March, 2019 clarified that the transfer deeds lodged prior to deadline and returned due to deficiency in the document may be re-lodged for transfer even after the deadline of 1[st ] April, 2019.

We have examined all Share Transfer forms, Memorandum of Transfers, Registers, files and other documents relating to M/s. Kinetic Engineering Ltd (CIN-L35912MH1970PLC014819) having registered office address at 01 Block, Plot No.18/2, Chinchwad, Pune MH 411019 IN maintained by Link Intime India Private Limited pertaining to transfer of equity shares of the company for the period from 1[st ] October, 2019 to 31[st ] March, 2020 for the purpose of issuing a Certificate as per Regulation 40(9) of the SEBI (LODR) Regulations 2015, by, Kinetic Engineering Ltd and based on the information provided by the Company, hereby certify that:

A) Share Certificate(s) relating to the Share Transfer form(s) lodged prior to 1[st ] October, 2019 and re-lodged thereafter during the period 1 [st ] October, 2019 to 31 [st ] March, 2020, as entered in the Memorandum of Transfers have been issued within one month from the respective date of lodgement of each form except for transfer of 50 shares.

B) Share Certificates in respect of deletion of name of the deceased and transmission of securities received during the period from 1 [st ] October, 2019 to 31 [st ] March, 2020 as entered in the Memorandum of Transfers have been issued within one month from the respective date of lodgement of each form.

C) As informed to us there were no request relating to transposition of securities, renewal, sub­ division(split) or Consolidation of Share Certificate received during the period from 1[st ] October, 2019 to 31 [st ] March, 20 20.

D) Any other information, if applicable: Physical verification of the documents could not be done due to the lockdown on account ofCOVID-19 situation.
