CLARIFICATION ANNOUNCEMENT

Reference is made to the circular of Kinetic Development Group Limited (the “ Company ”) dated 28 April 2023 (the “ Circular ”).

The board of directors (the “ Board ”) noted certain inadvertent clerical mistakes to the article number references in the Circular and would like to make the following clarifications:

• (a) reference to Article 111 set out on p.9, p.103 and p.129 of the Circular shall be Article 112;

• (b) reference to Article 112 set out on p.103 of the Circular shall be Article 113;

• (c) reference to Article 113 set out on p.103 of the Circular shall be Article 114;

• (d) reference to Article 115 set out on p.104 of the Circular shall be Article 116;

• (e) reference to Article 118 set out on p.104 of the Circular shall be Article 119;

• (f) reference to Article 124 set out on p.104 of the Circular shall be Article 125;

• (g) reference to Article 126 set out on p.104 of the Circular shall be Article 127;

• (h) reference to Article 131 set out on p.105 of the Circular shall be Article 132; (i) reference to Article 132 set out on p.105 of the Circular shall be Article 133; and

• (j) reference to Article 133 set out on p.106 of the Circular shall be Article 134.

Save for the above, all other information stated in the Circular remains unchanged. This clarification announcement is supplemental to and should be read in conjunction with the Circular.

As at the date of this announcement, the Board of the Company comprises seven directors, of whom three are executive Directors, namely Mr. Ju Wenzhong (Chairman), Mr. Li Bo (Chief Executive Officer) and Mr. Ji Kunpeng; one is a non-executive Director, namely Ms. Zhang Lin, and three are independent non-executive Directors, namely Ms. Liu Peilian, Mr. Chen Liangnuan and Ms. Xue Hui.
