   Kinaxis has appointed a new Chief Executive Officer, who will also join the board of directors of the Company, effective January 12, 2026.

5. Full Description of Material Change
   Kinaxis has appointed a new Chief Executive Officer, who will also join the board of directors of the Company, effective January 12, 2026. Mr. Robert Courteau, who is currently the Interim CEO of the Company, will contemporaneously step down from that role, and will resume his role as non-executive Chair of Kinaxis' board of directors. In view of Mr. Courteau's recent tenure in an executive position, Mr. Angel Mendez will continue in his role as Independent Lead Director.
