Ref: Redemption of 55 Lacs Cumulative Redeemable Preference Shares ( CRPS ) held by RBL Bank Ltd. pursuant to amended terms of redemption

Pursuant to regulation 30 of the SEBI ( Listing Obligations and Disclosure Requirements) 2015, read with other applicable provisions, intimation is being given that the Company has pursuant to approval accorded by the Board, redeemed 55,00,000 no. of CRPS held by RBL Bank Ltd. having face value of Rs. 5,50,00,000 at a discount ( as per confirmation received from RBL Bank on 29[th] March, 2023), which were due for redemption (at face value ) on 31st March, 2035 and 2036.

After the aforesaid redemption, entire 1,55,00,000 no. of CRPS of value Rs.15.50 Cr held by RBL Bank have been redeemed and extinguished in the current year.

This is in line with the company’s objective to deleverage and strengthen the balance sheet going forward.
