DIRECTORS' SHARE TRANSACTIONS

Today, the Company was informed that, on 28 November 2014, and in connection with the Company's scrip dividend alternative, the trustee of the Kier Group All Employee Share Ownership Plan acquired ordinary shares in the Company at a price of £14.31 per share for certain directors and a person discharging managerial responsibilities ("PDMR"), as follows:

Mr S Bowcott	56 shares
Mr H J Mursell Mr H E E Raven (PDMR)	22 shares 26 shares

Additionally, the Company was informed that the trustee of the Kier Group 1999 Employee Benefit Trust elected to take up the scrip dividend alternative in relation to the shares held by the trustee on behalf of the individuals listed below under the Company's deferred shares bonus arrangements, resulting in the following directors and PDMR being allocated the following numbers of shares:

Mr S Bowcott	188 shares
Mr H J Mursell Mr H E E Raven (PDMR)	179 shares   32 shares

The price per share for the purposes of calculating these allocations was £16.598.

The scrip dividend alternative relates to the final dividend for the financial year ended 30 June 2014, which was approved by shareholders at the Company's annual general meeting on 13 November 2014.

Following these transactions, the total beneficial interests in the share capital of the Company of, and the percentages of the issued share capital of the Company owned by, such individuals were:

Mr H J Mursell	24,389 shares	0.044%
Mr H E E Raven (PDMR)	6,331 shares	0.011%
