Kier Group plc (the "Company")

DIRECTORS/PDMR SHARE TRANSACTIONS

Today, 29 May 2013, the Company has been informed that the trustee of the Kier Group 1999 Employee Benefit Trust(the "Trustee") elected to take-up the scrip dividend alternative in respect of the Company's interim dividend for its 2013 financial year in relation to the shares held by the Trustee on behalf of the individuals listed below under the Company's deferred shares bonus arrangements.

The take-up of the scrip dividend by the Trustee resulted in the following directors and PDMR being allocated the following numbers of shares:

Mr S Bowcott	78 shares
Mr I M Lawson	91 shares
Mr H J Mursell	73 shares
Mr M P Sheffield	111 shares
Mr H E E Raven (PDMR)	13 shares

The price per share for the purposes of calculating these allocations was £12.778.

Following these transactions, the total beneficial holdings of the above individuals (including connected persons, where applicable) are:

Mr S Bowcott	12,294 shares	(0.03% of the issued share capital)
Mr I M Lawson	43,217 shares	(0.11% of the issued share capital)
Mr H J Mursell	10,847 shares	(0.03% of the issued share capital)
Mr M P Sheffield	64,602 shares	(0.16% of the issued share capital)
Mr H E E Raven	1,323 shares	(0.003% of the issued share capital)
