KIER GROUP PLC - DIRECTOR/PDMR SHAREHOLDINGS

Deferred Shares

Kier Group plc (the "Company") announces that, on 28 October 2013 the following directors and person discharging managerial responsibility ("PDMR") were allocated beneficial interests in the following numbers of shares in the capital of the Company:

Mr S Bowcott	1,658 shares
Mr H J Mursell	1,658 shares
Mr M P Sheffield	2,267 shares
Mr H E E Raven (PDMR)	347 shares

The beneficial interests in these shares have been allocated to the above-named individuals, at no cost to them, as part of the Company's bonus arrangements for the financial year ended 30 June 2013.  The legal title to the shares is held by the trustee of the Kier Group 1999 Employee Benefit Trust (the "Trustee").

The Trustee will hold the shares on trust for such individuals until 28 October 2016 (subject to the rules of the bonus arrangements). The price at which the beneficial interests in the shares were allocated was £17.85, being the middle market quotation of a share in the capital of the Company on 25 October 2013.

Following these allocations, the total beneficial interests of the individuals were:

Mr S Bowcott	14,016 shares	0.03% of the issued share capital
Mr H J Mursell	12,570 shares	0.02% of the issued share capital
Mr M P Sheffield	66,869 shares	0.12% of the issued share capital
Mr H E E Raven (PDMR)	1,735 shares	0.003% of the issued share capital
