Total Voting Rights

In accordance with the FCA's Disclosure and Transparency Rule 5.6.1, Kier Group plc (the "Company") notifies the market that, as at 28 February 2017, the Company's issued share capital comprised 97,412,090 ordinary shares of 1p each, with each share carrying the right to one vote. There are no shares held in treasury. Therefore, the total number of voting rights in the Company as at 28 February 2017 was 97,412,090.

The figure of 97,412,090 may be used by shareholders to determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
