Sale of Nil Paid Rights

Kier Group plc (the "Company") announces that on 14 December 2018, certain of its directors and persons discharging managerial responsibilities ("PDMRs") sold nil paid rights relating to ordinary shares of 1 pence each in the capital of the Company (each a "Nil Paid Right") in connection with the Company's deferred shares bonus arrangements, with the intention of using the proceeds to take up further Nil Paid Rights pursuant to the Company's rights issue (the "Rights Issue"), which was announced on 30 November 2018, as follows:

The Company was also informed of the following transactions:

On 13 December 2018, Mrs Molly Raven, wife of Mr Hugh Raven (PDMR), sold 5,807 Nil Paid Rights at a price of 7.1 pence per Nil Paid Right with the intention of using the proceeds to take up further Nil Paid Rights pursuant to the Rights Issue.

On 17 December 2018, Mrs Katharine Mursell, wife of Mr Haydn Mursell (Chief Executive), sold 944 Nil Paid Rights at a price of 0.08 pence per Nil Paid Right with the intention of using the proceeds to take up further Nil Paid Rights pursuant to the Rights Issue.
