DIRECTOR/PDMR SHAREHOLDINGS

The Company has been informed that the Trustee of the Kier Group All Employee Share Ownership Plan today acquired ordinary shares in the capital of the Company at a price of £12.37 per share for certain directors and persons discharging managerial responsibilities ("PDMRs"), through the reinvestment of the Company's interim dividend for the six months ended 31 December 2015, as follows:

Additionally, the Company was informed today that, on 20 May 2016, the Trustee of the Kier Group 1999 Employee Benefit Trust acquired ordinary shares in the capital of the Company at a price of £12.90 per share for certain directors and PDMRs under the Company's deferred shares bonus arrangements. The shares were acquired in connection with the scrip dividend offered in respect of the Company's interim dividend for the six months ended 31 December 2015.
