DIRECTOR/PDMR SHAREHOLDING

Kier Group plc (the "Company") was informed on 20 May 2016 that, also on 20 May 2016, the following allotments of ordinary shares of 1p each in the capital of the Company were made to certain of its directors and persons discharging managerial responsibilities ("PDMRs") and, where indicated below, their connected persons in connection with the scrip dividend offered in respect of the Company's interim dividend for the six months ended 31 December 2015:

Mrs A K Bashforth	19 shares
Mr N P Brook	145 shares
Mr H J Mursell (1)	480 shares
Mr P J Pethica (PDMR) (2)	82 shares
Mr C Veritiero	99 shares

(1)   Allotted to his connected person, Mrs K E Mursell.

(2)   Includes 16 shares allotted to his connected person, Mrs K Pethica.

The shares were allotted at a price of 1290 pence per share.

Following these transactions, the total beneficial interests in the share capital of the Company of such individuals (together with their connected persons, where relevant), and the percentage of the issued share capital of the Company represented by such interests, are:
