PDMR SHARE TRANSACTION

Kier Group plc (the "Company") announces that on 1 July 2015, Mr A J Gordon-Stewart, a Person Discharging Managerial Responsibilities, acquired 1,072 shares in the share capital of the Company, following an exercise of options under the Kier Group plc 2006 Sharesave Scheme, at an option price of £8.393 per share.

Following this transaction, Mr Gordon-Stewart holds a beneficial interest of 2,432 shares, representing 0.003 % of the issued share capital.
