DIRECTOR/PDMR SHAREHOLDING

Kier Group plc (the "Company") announces that Steve Bowcott (a member of the board of directors of the Company) made the following transfers of ordinary shares in the capital of the Company to his wife, Denise Bowcott, in each case for nil consideration:

(i)          On 2 July 2012, 1,220 shares;

(ii)         On 26 February 2014, 7,700 shares; and

(iii)        On 22 December 2014, 5,965 shares.

As at the date of this announcement, Denise Bowcott owns 15,320 shares in the capital of the Company (or 0.027% of the issued share capital), having previously elected to take-up scrip dividends with respect to such shares.

The shares owned by Denise Bowcott have been included within the total interest of Steve Bowcott as notified in all previous announcements relating to his interests in the share capital of the Company.

The total interest in the share capital of the Company owned by Steve Bowcott, when aggregated with those interests of his connected persons, is 25,923 (or 0.046% of the issued share capital of the Company), as announced on 28 January 2015.
