DIRECTORS/PDMR SHARE TRANSACTIONS

Yesterday, the Company was informed that, on 27 November 2013 and in connection with the Company's scrip dividend alternative, the trustee of the Kier Group All Employee Share Ownership Plan acquired ordinary shares in the Company at a price of £17.55 per share for certain directors and a person discharging managerial responsibilities ("PDMR"), as follows:

Mr S Bowcott	37 shares
Mr H J Mursell	13 shares
Mr H E E Raven (PDMR)	15 shares

Additionally, the Company was informed that the trustee of the Kier Group 1999 Employee Benefit Trust elected to take-up the scrip dividend alternative in relation to the shares held by the trustee on behalf of the individuals listed below under the Company's deferred shares bonus arrangements, resulting in the following directors and PDMR being allocated the following numbers of shares:

Mr S Bowcott	130 shares
Mr H J Mursell	122 shares
Mr M P Sheffield	181 shares
Mr H E E Raven (PDMR)	20 shares

The price per share for the purposes of calculating these allocations was £16.60.

The scrip dividend alternative relates to the final dividend for the financial year ended 30 June 2013, which was approved by shareholders at the Company's annual general meeting on 14 November 2013.

Following these transactions, the total beneficial interests of, and the percentages of the issued share capital of the Company owned by, such individuals (and, where applicable, persons connected to such persons) were:

Mr M P Sheffield	74,205 shares	0.14%
