Awards under All Employee Share Ownership Plan

Today, 18 November 2013, Kier Group plc (the "Company") was informed that, on 12 November 2013, the Trustee of the Kier Group All Employee Share Ownership Plan (the "Plan") acquired ordinary shares in the capital of the Company for, and allocated free matching shares in accordance with the rules of the Plan to, certain directors and a person discharging managerial responsibility ("PDMR"), as follows:

Mr H J Mursell	7 shares	3 shares
Mr H E E Raven (PDMR)	7 shares	3 shares

Vesting of Awards under Long-Term Incentive Plan

The Company has also been advised that, on 14 November 2013, the following directors and PDMR received the following numbers of shares in the capital of the Company as a result of the vesting of awards made to them in November 2010 under the Kier Group plc 1999 Long-Term Incentive Plan, after deduction of tax but otherwise at no cost to the individual:

Mr S Bowcott	3,997 shares
Mr H J Mursell	3,997 shares
Mr M P Sheffield	5,545 shares
Mr H E E Raven (PDMR)	924 shares

Following these transactions, the total beneficial interests in the share capital of the Company of, and the percentages of the issued share capital of the Company owned by, such individuals is:
