DIRECTORS/PDMRs SHARE TRANSACTIONS

Today, 20 May 2013, the Company has been informed that on 17 May 2013, the Trustee of the Kier Group All Employee Share Ownership Plan reinvested interim dividend entitlements by acquiring ordinary shares in the Company at a price of £11.98 per ordinary share for the beneficial ownership of the following:

Mr S Bowcott	23 shares
Mr I M Lawson	49 shares
Mr H J Mursell	7 shares
Mr H E E Raven (PDMR)	9 shares

Additionally, the Company has today been advised that the following directors (and persons connected to them, where applicable) were allotted new ordinary shares on 17 May 2013 at a price of £12.778 per ordinary share instead of cash in respect of the Company's interim dividend:

Mr S Bowcott	76 shares (56 shares self, 20 shares spouse)
Mr I M Lawson	575 shares (278 shares self, 297 shares spouse)
Mr H J Mursell	96 shares (spouse)
Mr M P Sheffield	949 shares (763 shares self; 186 shares spouse)

Following these transactions, their total beneficial interests in the share capital of the Company were:

Mr S Bowcott	12,216 shares	(0.03% of the issued share capital)
Mr I M Lawson	43,126 shares	(0.11% of the issued share capital)
Mr H J Mursell	10,774 shares	(0.03% of the issued share capital)
Mr M P Sheffield	64,491 shares	(0.16% of the issued share capital)
Mr H E E Raven (PDMR)	1,310 shares	(0.003% of the issued share capital)
