POSTAL BALLOT NOTICE

NOTICE is hereby given to the Members of the Company that:

1.Pursuant to the provisions of Section 110and other applicable provisions, if any, of the Companies Act, 2013 ('the Act'), read with Rule 22 of the Companies (Management and Administration) Rules,2014 (including any statutory modification or re-enactment(s) thereof for the time being in force), ("the Rules"), Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("the Listing Regulations") and pursuant to other applicable laws and regulations, a Postal Ballot Notice together with Postal Ballot Form ("Postal Ballot Notice,,),seeking Members consent on the resolutions set out in the said Postal Ballot Notice has been dispatched to them.

2.The PostalBallot Notice has been sent to all the Members, whose names appear in the Register of Members / list of Beneficial Owners received from Depositories as on the close of business hours on April 19, 2019. The Postal Ballot Notice has been sent to the Members in electronic form to the email addresses registered with their Depository Participant (in case of electronic shaleholding) / the Company's Registrar & TransferAgent (in caseof physical shareholding). In caseof Members whose emaillDs are not registered, physical copy of Postal Ballot Notice has been sent through registered post along with a self-addressed BusinessReply Envelope. The Company has completed dispatch of the Postal Ballot Notice on May 03, 2019.

1. The Company shall be providing e-voting facilities to the Members through National Securities Depository Limited (NSDL),in respect of the resolutions set out in the Postal Ballot Notice. The process and manner of e-voting have been mentioned in relevant Notes of the said Postal Ballot Notice dispatched to the Members.

4.The Company has appointed Mr.A. K.labh (FCS.F4B4B,CPNo. 3238),Practicing Company Secretary as Scrutinizer for conducting the Postal Ballot including e-voting process in a fair and transparent manner.

S.The Members, whose names appear in the Register of Members or in the Register of Beneficial Owners received from Depositories as on close of business hours on April 19, 2019 shall be entitled to avail the facility of e-voting or voting through postal ballot. Once vote(s) on Resolution(s) is/ are cast by a Member, the same cannot be changed subsequently. The e-voting will commence on Sunday, May 05, 2019 at 9:00 A.M and end on Monday, June 03, 2019 at 05:00 P.M. Thereafter, the module of e-voting shall be disabled by NSDL at 5:00 P.M,on Monday, June 03, 2019.

1. Duly completed Postal Balid Form should reach Company's Registrar and Transfer Agent, Link Intime (India) Private Limited not later than 05:00 P.M.on Monday, June 03, 2019. Postal Ballot Form received after 05:00 P.M.on Monday, June 03, 2019 shall be treated as if the reply from the Member has not been received.

7.The Members can opt for only one mode of voting i.e.either by physical postal ballot or e-voting.ln casethe Members cast their votes through both the modes, voting done bye-voting shall prevail and votes castthrough physical PostalBallot Forms will be treated as invalid.

1. Members who have not received the Postal Ballot Notice can download the Postal Ballot Form from the website of the Company at www.khadims.com and from the website of NSDl at www.evoting.nsdl.com or they may write to compliance@khadims.com for a duplicate Postal Ballot Form

কোম্পানির সদস্যদের এতদ্দারা অবগত করা যাচ্ছে যে:

১. সিকিউরিটিজ আান্ড এক্সচেঞ্জ বোর্ড অফ ইন্ডিয়া (লিস্টিং অবলিগেশনস অ্যান্ড ডিসক্লোজার রিকোয়ারমেন্টস) রেগুলেশনস, ২০১৫ ('দি লিস্টিং রেগুলেশনস')-এর রেগুলেশন ৪৪, অন্যান্য প্ৰযোজ্য আইন ও নিয়ন্ত্ৰণবিধি এবং কোম্পানিজ (ম্যানেজমেন্ট আন্ড আডমিনিস্ট্ৰেশন) রুলস, ২০১৪ (মায় যে কোনওঁ বিধিবদ্ধ সংশোধন অথবা সংশ্লিষ্ট সময়ে পুনর্বলৎকরণ)-এর রুল ২২ সহযোগে পঠনীয় কোম্পানিজ আৰ্ক্ট ২০১৩ (আইন)-এর সেকশন ১১০ এবং অন্যান্য প্রযোজ্য বিধিবিধান (যদি থাকে) অনুযায়ী একটি পোস্টাল ব্যালট নোটিস ও তার সঙ্গে পোস্টাল ব্যালট ফর্ম (পোস্টাল ব্যালট নোটিস) সদস্যের কাছে পাঠানো হয়েছে এবং উক্ত পোস্টাল ব্যালট নোটিসে উল্লেখিত প্রস্তাবগুলির ওপর সদস্যদের সম্মতি চাওয়া হয়েছে।

২. ১৯ এপ্রিল, ২০১৯ তারিখে অফিস বন্ধ হওয়ার সময়ের ভিত্তিতে ডিপোজিটরিদের কাছ থেকে পাওয়া যাওয়া সুবিধাপ্রাপক মালিকদের তালিকায়/কোম্পানির রেজিস্টার অফ মেম্বার্সে যে সকল সদসোর নাম পাওয়া গেছে তাঁদের সকলকেই পোস্টাল ব্যালট নোটিস পাঠানো হযেছে। কোম্পানির রেজিস্ট্রার আন্ড ট্রান্সফার এজেন্ট/ডিপোজিটরি পার্টিসিপান্টগণের কাছে যে সকল সদস্যের ই-মেল ঠিকানা রেজিস্টার্ড আছে (বৈদ্যুতিন পদ্ধতিতে শেয়ারগ্রহীতাদের ক্ষেত্রে) সেই সকল সদসোর কাছে পোস্টাল ব্যালট নোটিস বৈদ্যতিন আকারে পাঠানো হয়েছে। যে সকল ব্যালট নোটিস ব্যবহারিক পদ্ধতিতে রেজিষ্টার্ড পোষ্টে পাঠানো হয়েছে এবং সঙ্গে পাঠানো হয়েছে একটি করে স্বনাম–ঠিকানা লেখা জবাবি বাণিজ্যিক খামও। এই পাঠানোর কাজ কোম্পানি ০৩ মে, ২০১৯ তারিখে শেষ করেছে।

৩. ন্যাশনাল সিকিউরিটিজ ডিপোজিটরি লিমিটেড (এনএসডিএল)-এর মাধ্যম কোম্পানি পোস্টাল ব্যালট নোটিসে বর্ণিত প্রস্তাবগুলির ক্ষেত্রে ই-ভোটিংয়ের সবিধা দেবে। ই-ভোটিং প্রক্রিয়া ও পদ্ধতি সদস্যদের কাছে পাঠানো উক্ত পোস্টাল ব্যালট নোটিসের প্রাসঙ্গিক দ্রষ্টব্যস্থানে উল্লেখ করে দেওয়া আছে।

৪. স্বচ্ছ ও নিরপেক্ষভাবে পোষ্টাল ব্যালট পরিচালনের লক্ষ্যে কোম্পানি স্ক্রটিনাইজার হিসেবে প্রাক্টিসিং কোম্পানি সেক্রেটারি মিঃ এ কে লভ (এফ সি এস এফ ৪৮৪৮, সিপি নং ৩২৩৮)-কে নিয়োগ করেছে।

৫. ১৯ এপ্রিল, ২০১৯ তারিখে অফিস বন্ধ হওয়ার সময়ের ভিত্তিতে যে সকল সদস্যের নাম কোম্পানির রেজিস্টার অফ মেম্বার্সে বা রেজিস্টার অফ বেনিফিসিয়াল ওনার্স খাতায় পাওয়া যাবে তাঁরাই পোস্টাল ব্যালটে বা ই ভোটিং পদ্ধতিতে ভোটাধিকার প্রয়োগের অধিকারী হবেন। কোনও সদস্য কোনও প্রস্তাবের ওপর একবার ভোটদান করলে তিনি পরে আর মতামত পরিবর্তন করতে পারবেন না। ই−ভোটিং শুরু হবে ৫মে, ২০১৯, রবিবার সকাল ৯টায় এবং শেষ হবে ৩ জুন, ২০১৯, সোমবার বিকেল ৫টায়। এরপরে এনএসডিএল-এর তরফ থেকে ই-ভোটিং প্রক্রিয়া ০৩ জন, ২০১৯-এর বিকেল ৫টায় অক্রিয় করে দেওয়া হবে।

৬. সম্পূর্ণ করা পোস্টাল ব্যালট ফর্ম কোম্পানির রেজিস্ট্রার ও ট্রান্সফার এজেন্ট লিঙ্ক ইনটাইম (ইন্ডিয়া) প্রাইভেট লিমিটেড-এ পৌঁছতে হবে ০৩ জুন, ২০১৯ সোমবার বিকেল ৫টার মধ্যে। ০৩ জন ২০১৯ সোমবার বিকেল ৫টার পরে প্রাপ্ত পোস্টাল ব্যালট ফর্ম সদস্যকে নিরুত্তর বলে গণ্য করা হবে।

৭. সদস্যরা একটিই ভোযদান পদ্ধতি পছন্দ করতে পারেন— বাস্তবিক পোস্টাল ব্যালট বা ই-ভোটিং। দুটি পদ্ধতিতে ভোট দিলে ই-ভোটিং স্বীকৃত হবে ও পোস্টাল ব্যালট ফৰ্ম বাতিল $2(3)$

৮. পোষ্টাল ব্যালট বিজ্ঞপ্তি না পেলে সদস্যরা তা কোম্পানির ওয়েবসাইট www.khadims. com ও এনএসডিএল ওয়েবসাইট www.nsdl.com থেকে ডাউনলোড করতে পারেন বা ডুগ্নিকেট পোস্টাল ব্যালট ফর্ম পেতে লিখতে পারেন complaince(a)khadims.com-এ। ৯. জিজ্ঞাস্য/অভিযোগের জন্য ব্যক্তিদের যোগাযোগ বিশদ নিম্নরূপ।
