Issued Share Capital

Kentor Gold Ltd (ASX Code:KGL, the Company) advises that following the successful Share Purchase Plan, 34.2 million fully paid ordinary shares will be issued. The current issued capital of the Company now comprises:

  • 177,626,865 fully paid ordinary shares

  • 12,100,000 unlisted options.

The Share Purchase Plan was offered pursuant to an exemption from 6D.2 and 6D.3 of the Corporations Act 2001 (Cth) ( the Act ) (other than sections 736 and 738 of the Act) granted by the Australian Securities and Investments Commission on 3 June 2009.

The Company gives notice that:

  1. The Company issued the shares without disclosure to investors under Part 6D.2 of the Act;

  2. As at the date of this notice the Company has complied with:

  3. (a) the provisions of Chapter 2M of the Act (as applicable to the Company); and (b) section 674 of the Act; and

  4. As at the date of this notice there is no excluded information (as defined in section 708A(7) of the Act) which is required to be disclosed by the Company

Kentor Gold Limited (ASX Code: KGL) is an Australian-based company formed in 1998 as a specialist gold explorer. The Company was listed on the Australian Securities Exchange (ASX) in March 2005 and has diversified into exploration for gold, geothermal energy and base metals in Central Asia, where it has highly regarded, established local management.

Kentor is working towards the development of two gold mines in the Kyrgyz Republic:

  • Andash, targeted for production in 2011 at the currently planned rate of 60,000 oz gold and 5,000 tonnes copper per year for eight years - and

  • Savoyardy, proposed to commence in 2010 at the initial rate of 10,000 oz gold per year for a minimum three years subject to final decision later this year - Kentor has an option to purchase 100 per cent of the project.

Quotation agreement

  • 1 +Quotation of our additional +securities is in ASX’s absolute discretion. ASX may quote the[+] securities on any conditions it decides.

  • 2 We warrant the following to ASX.

  • The issue of the[+] securities to be quoted complies with the law and is not for an illegal purpose.

  • There is no reason why those[+] securities should not be granted +quotation.

  • An offer of the[+] securities for sale within 12 months after their issue will not require disclosure under section 707(3) or section 1012C(6) of the Corporations Act.

Note: An entity may need to obtain appropriate warranties from subscribers for the securities in order to be able to give this warranty
