The Management Board's recommendation regarding the coverage of loss for2015 and dividend payout in 2016

On 17 May 2016, the Management Board of KGHM Polska Miedź S.A. adopted aresolution based on which it will recommend that the Ordinary GeneralMeeting of KGHM Polska Miedź S.A. cover the loss for financial year 2015in the amount of PLN 2 787 922 590.67 from the Company's reserve capitaland that it adopts a resolution on the dividend payout in the amount ofPLN 300 000 000.00 (or PLN 1.50 per share) from the reserve capital inthat part arising from profit.

In developing its recommendation, the Management Board mainly took intoconsideration the financial condition of the KGHM Polska Miedź S.A.Group.

The Management Board of KGHM Polska Miedź S.A. will recommend thefollowing dividend payment dates:

A dividend date (the date on which the right to dividend is set) of 15July 2016.

Dividend payment dates:

1st instalment on 18 August 2016: PLN 150 000 000.00;

2nd instalment on 17 November 2016: PLN 150 000 000.00.

The above recommendation of the Management Board was positively reviewedby the Supervisory Board of KGHM Polska Miedź S.A.

The final decision regarding the dividend payout will be made by theOrdinary General Meeting of KGHM Polska Miedź S.A.
