IMPORTANT NOTICE

KERRY

Kerry Group plc
("The Company")
Measures to reduce Coronavirus (COVID-19)
transmission at the Annual General Meeting
to be held on Thursday 30 April 2020

The documents for the Company's upcoming Annual General Meeting ("AGM") are enclosed.

The Company considers the well-being of shareholders, attendees and employees a top priority and has implemented, and will continue to implement, the measures advised by the Health Service Executive ("HSE") to minimise the spread of Coronavirus (COVID-19).

Based on the latest available guidance from the HSE, we expect the AGM to proceed on 30 April 2020 but under very constrained circumstances.

Given the health risks, and Government recommendations on public gatherings, we encourage all shareholders on this occasion to submit their proxy forms as soon as possible to ensure their vote counts at the AGM and to minimise the need to attend in these unprecedented circumstances. Proxy voting can be carried out in advance of the AGM by availing of one of the following options:

→ postal voting by completing the proxy form enclosed;
→ via the Company's website at www.kerrygroup.com/proxy; or
→ via the CREST system for those shareholders who hold their shares in CREST.

For further instructions on proxy voting, please see the enclosed proxy form and the Shareholder Information section of the AGM Notice.

If there are questions that you wanted to ask at the AGM you can submit these by email to [email protected] or by post to the Group Secretary, Kerry Group plc, Prince's Street, Tralee, Co Kerry, V92 EH11 to be received no later than 27 April 2020.

The Board encourages shareholders to check Regulatory News Services and the Company's website www.kerrygroup.com/agm for any updates in relation to the AGM. On 17 March 2020, the Irish Government proposed statutory amendments that would empower the Minister for Health to restrict or prohibit the holding of public events. Therefore the conditions for the holding of the AGM may change at short notice. Shareholders are encouraged to keep up-to-date with Government announcements and to follow HSE/WHO guidance.

If the current Coronavirus (COVID-19) situation continues, the AGM will be held in accordance with prevailing Government guidelines and restrictions for public gatherings. We anticipate that, in such circumstances, it will be conducted swiftly and efficiently and the venue will be vacated promptly.

If you have any queries, please contact the Share Registration Department on +353 66 7182000.
