Result of General Meeting

Keras Resources plc, the AIM listed mineral resource company, is pleased to announce that all resolutions were passed at the General Meeting of the Company held earlier today.

Following the approval of the resolution put to shareholders, the proposed acquisition by Pharmanet Group Limited ("Pharmanet") of 100% of the issued share capital of the Company's wholly owned subsidiary Keras (Gold) Australia Pty Ltd ("Keras Australia"), as previously announced on 21 March 2017 (the "Transaction"), will advance according to the anticipated schedule of events shown below.  For further information, investors are referred to the Circular sent to shareholders on 2 May 2017, which is also available on the Company's website and can be accessed using the following link: http://www.kerasplc.com/documents/KerasResourcesPlc-Circular28.4.2017.pdf.  

Anticipated schedule of events:

Proposed receipt of ASX Capital Raising funds by Pharmanet	28 May 2017
Pharmanet General Meeting in Australia	30 May 2017
Completion of Transaction	2 June 2017
Listing of Calidus on ASX	3 June or as directed by ASX
