Kendrion sells off its Automotive Metals activities
Kendrion has announced that it has reached agreement with Gnosjö-Gruppen Holding AB on the sale of its Automotive Metals activities. Gnosjö-Gruppen Holding AB is a newly formed Swedish investment group, managed and partly owned by the current management of the Automotive Metals group. AP-Konvertibeln KB, which is wholly-owned and controlled by the Sixth Swedish National Pension Fund provides mezzanine financing to Gnosjö-Gruppen Holding AB and participates as a shareholder in Gnosjö-Gruppen Holding AB within the mezzanine structure.
In the first six months of 2007 Automotive Metals had a turnover of EUR 59.2 million, with an operating profit of EUR 3.0 million. Kendrion Automotive Metals has branches in Sweden, Germany, Slovakia and Hong Kong, with a total of around 700 employees.
The transaction will bring revenues of around EUR 35 million, and for Kendrion it results in a book loss of around EUR 10 million, including the incurred and expected costs.
The transaction is subject to customary clearance from the Swedish competition authorities.
The sale of the Automotive Metals activities, following the acquisition of the Linnig Antriebstechnik Group that was announced on 14 November 2007, represents another major step forward in Kendrion's "Focused Acceleration" strategy. This strategy means that Kendrion is concentrating on achieving leading positions in selected niche markets. Kendrion Automotive Metals no longer fits within this strategy, and the sale of these activities should then also be seen in this context. It is inevitable that a book loss has to be accepted with the sale, in view of the scale of the interest in this type of activity shown by both financial and strategic partners in recent months.
After the sale of Automotive Metals, Kendrion has two remaining areas of activity, which both occupy market-leading positions: Kendrion Electromagnetic and Kendrion Distribution Services (Vink and Servico). Both segments have good profitability and an attractive growth perspective.
With these activities, Kendrion is aiming to achieve strong autonomous growth. Acquisition efforts will be concentrated on further growth of the Kendrion Electromagnetic division. A strengthening of Kendrion Distribution Services' market position is intended, particularly in France and Germany.
