Extraordinary General Meeting of Shareholders approves sale of Distribution Services division
Kendrion announced on 26 November 2008 that it had reached an agreement with the British company Edmundson Distribution Limited regarding the sale of its Distribution Services operations. The Distribution Services operations comprise the Vink Group that has been sold to Edmundson Distribution Limited and the Belgian company Servico that has been sold to Claessen ELGB N.V.
The transaction was subject to the approval of the shareholders of Kendrion N.V. The transaction is furthermore subject to the approval of the European competition authorities and the banks.
The shareholders of Kendrion N.V. have granted approval for the transaction at the Extraordinary General Meeting of Shareholders held today. Kendrion announced at the meeting its intention, partially within the context of this sale, to pay a dividend in 2009, the amount of which will be determined after adoption of the 2008 annual accounts.
The banks have now also approved the sale. A current condition for granting this approval is that a dividend of maximum EUR 10 million can be paid in 2009.
The sale of Servico is furthermore conditional on approval of its most important supplier. This supplier is entitled until 18 December 2008 to exercise a pre-emptive right relating to the sale of Servico.
The procedure for obtaining the approval of the European competition authorities has been initiated. The transaction is expected to be finalised in early 2009.
